Terms of Use – VeroVantage Portal

These terms of use (“Terms of Use”) govern access to and use of the approved broker portal, known as VeroVantage, which is owned and operated by Vero Insurance New Zealand Limited (“Vero”). In these Terms of Use “we”, “our” and “us” refer to Vero.

By accessing or using the Portal, you agree to comply with these terms. Please read them carefully. If after reading these Terms of Use you do not accept them, you should immediately log out of the Portal and refrain from further use.

Your use of the Portal also binds the legal entity by which you are engaged (either as an employee, contractor or agent) (the "Authorised Intermediary") to these Terms of Use. All obligations and limitations in these Terms of Use apply jointly and severally to you and your Authorised Intermediary.

We reserve the right to vary these Terms of Use at any time by publishing updated versions on the Portal.  

Definitions

In these Terms of Use, unless the context requires otherwise,

Change Request means a request submitted by a User through the Portal seeking amendments to a Renewal Offer.

Claim means a request by a customer for indemnity under a Contract of Insurance.

Claims Information means all data, documents and information submitted via, or recorded on, the Portal in connection with a Claim. 

Contract of Insurance means the policy wording and the schedule, being documents provided to the customer containing the details of the insurance cover. Collectively these documents form the Contract of Insurance.

Portal means the electronic platform known as VeroVantage owned and operated by Vero through which intermediaries may submit Claims and accept (for Vero net agencies only) or decline Renewal Offers on behalf of customers.

Renewal Offer means an offer made by Vero to renew an existing Contract of Insurance on stated terms. The Renewal Offer determines the extent and period of cover under the Contract of Insurance, including a breakdown and calculation of premium.

Users or you means nominated employees, contractors and agents of the Authorised Intermediary who have been granted access to the Portal by Vero.

1. Purpose and Access

  • 1.1 The Portal is provided to Users for the purpose of viewing policy information, accepting (for net agencies only) or declining Renewal Offers, submitting Change Requests for revised Renewal Offers, cancelling policies from renewal, and submitting Claims.
  • 1.2 Users must not use the Portal for any purpose outside those expressly permitted under these Terms of Use.
  • 1.3 Access is restricted to registered Users who have been granted credentials by Vero.
  • 1.4 Users should immediately notify Vero of any unauthorised access to the Portal or a suspected security breach.
  • 1.5 Vero reserves the right to suspend, restrict, or permanently deny a User’s access to the Portal, in whole or in part, if the User breaches, or Vero reasonably suspects the User has breached, these Terms of Use.
  • 1.6 Use of the Portal is governed by these Terms. In the event of any inconsistency between these Terms of Use and the applicable distribution agreement between Vero and your Authorised Intermediary, the distribution agreement will prevail, except in relation to the Placement of Insurance as set out in Clause 3, which will prevail to the extent of any discrepancy.

2. User Responsibilities and Warranties

  • 2.1 Users are responsible for checking the accuracy, adequacy and completeness of all information displayed or made available on the Portal, including any Renewal Offers and any related information.
  • 2.2 Users must ensure all information, including all Claims information, submitted via the Portal is complete, accurate, and up to date.
  • 2.3 Users must comply with all applicable laws, regulations, and professional standards when using the Portal. 
  • 2.4 Users must fulfil all obligations required of them under the relevant distribution agreement with Vero, including but not limited to, all conduct and disclosure requirements, before reviewing or accepting any Renewal Offer on the Portal. By accepting a Renewal Offer, Users warrant and confirm that all such obligations have been fully satisfied.  
  • 2.5 Users are responsible for maintaining the confidentiality of their login details and for all activities conducted under their account. Credentials must not be shared with unauthorised parties.
  • 2.6 Each User warrants that they has the authority to accept or decline Renewal Offers on behalf of the insured and authority to submit Claims Information.

3. Placement of Insurance

  • 3.1 The Renewal Offer presented by Vero determines the extent and period of cover under the Contract of Insurance and includes a breakdown and calculation of premium.
  • 3.2 Users may accept (for Vero net agencies only), decline, or submit a Change Request to, a Renewal Offer presented by Vero on the Portal.
  • 3.3 Acceptance of the Renewal Offer by a User via the Portal binds the Contract of Insurance at the time of the acceptance. The Contract of Insurance is bound on the terms of the Renewal Offer as presented on the Portal.
  • 3.4 Following acceptance of a Renewal Offer, a User may at their discretion provide placing slips, closing instructions or other documentation to Vero. Any such closing instructions or documentation:
    • 3.4.1 Are provided for administrative purposes only; and 
    • 3.4.2 Do not alter, amend, vary or form part of the Contract of Insurance as bound under clause 3.3, except that Vero may take such documentation into account for the limited purpose of reconciling minor premium differences (for example, rounding discrepancies arising from differences in decimal points). 
  • 3.5 The Contract of Insurance will only be amended where:
    • 3.5.1 The User expressly notifies Vero of a Change Request to the terms of the Renewal Offer; and 
    • 3.5.2 Vero expressly agrees to that change in writing. 
  • 3.6 For the avoidance of doubt, Vero will not be taken to have accepted any variation to the Contract of Insurance by reason only of receiving any closing instructions or related documentation. 
  • 3.7 When a Change Request is submitted, the Contract of Insurance cannot be bound through the Portal. Users should treat the Renewal Offer as amended by the Change Request and must provide closing instructions with a placing slip, in accordance with Vero’s standard placement processes, confirming the intended cover. The Contract of Insurance will not be bound until such closing instructions are received and accepted by Vero.
  • 3.8 Unless expressly stated otherwise, any policy expiry displayed on the Portal occurs at 4pm on the relevant expiry date. If the Renewal Offer is not accepted by the User before 4pm on the expiry date of the in-force Contract of Insurance, or the commencement of the period of insurance contained in the Renewal Offer, it will no longer be visible or available for acceptance on the Portal.
  • 3.9 Vero does not make any representation that the Renewal Offer is suitable for the customer’s circumstances and does not provide any advice as to the general suitability of the Renewal Offer.  

4. Claims Lodgement

  • 4.1 Claims lodged by Users via the Portal will be assessed in accordance with the applicable policy terms and Vero’s established claims handling processes.
  • 4.2 Submission of a Claim via the Portal does not constitute acceptance of the Claim by Vero.

5. Liability

  • 5.1 Users acknowledge that, to the extent permitted by law:
    • 5.1.1 Except as expressly stated in these Terms of Use, all warranties, representations or conditions relating to any aspect and use of the Portal, or to the information contained in the Portal (whether express or implied and whether arising in contract, at common law or in legislation) are expressly excluded.
    • 5.1.2 If any legislation (including without limitation the Fair Trading Act 1986 and the Consumer Guarantees Act 1993) implies statutory rights, conditions or warranties which cannot be lawfully excluded, our liability and the liability of our employees, directors or agents will be limited to, at our discretion, the supply of services again or the payment of the cost of having the services supplied again.
  • 5.2 In providing the Portal to you:
    • 5.2.1 we do not warrant that your use of the Portal will be uninterrupted or error-free, or that the Portal and/or information obtained by you through the Portal will be error free or meet your requirements. The Portal is provided “as is, as available”. 
    • 5.2.2 we are not responsible for any delays, delivery failures, or any other loss or damage resulting from the transfer of data over communications networks and facilities, including the internet, and you acknowledge that the Portal may be subject to limitations, delays and other problems inherent in the use of such communication facilities.
    • 5.2.3 we expressly exclude, to the maximum extent permitted by law, all warranties, descriptions, statements, representations, whether implied by statute or made by any representative or agent of Vero or otherwise, and whether express or implied (but except to the extent set out in these Terms of Use).  
    • 5.2.4 we do not have any liability to you, in respect of the use and provision of the Portal, for loss of profits, loss of revenues, or any liability for consequential, indirect or special damage, loss or injury of any kind suffered by you or any other person.
  • 5.3 The exclusion of liability in clause 5.2 (inclusive) will apply irrespective of how liability arises, whether in contract, equity, tort (including negligence), breach of statutory duty or otherwise. For the avoidance of doubt, clause 5.2 does not apply to liability arising out of clause 3 (Placement of Insurance), which is governed by the terms of the applicable distribution agreement between Vero and your Authorised Intermediary.

6. Portal Availability

  • 6.1 Vero will use reasonable efforts to ensure the Portal is available and functioning correctly but does not warrant or guarantee that access will be uninterrupted, error free or available at all times.
  • 6.2 Changes or updates to the Portal may occur without notice. However, we will not alter the core functionality of the Portal without first giving you reasonable notice.
  • 6.3 Vero may suspend or restrict access to the Portal without notice for maintenance, security, regulatory compliance or other operational requirements.
  • 6.4 If the Portal is unavailable, the User should revert to using Vero’s usual claims lodgement and underwriting processes.

7. Restrictions on use of the Portal

  • 7.1 By using the Portal, you agree that you will not, (either yourself or through any third party):
    • 7.1.1 use any robot, spider, screen scraper, data aggregation tool or other automatic device or process ("Automated Process") to process, monitor, copy or extract any web pages on the Portal, or any of the information, content or data contained within or accessible through the Portal, without Vero’s prior written permission;
    • 7.1.2 use any Automated Process to aggregate or combine information, content or data contained within or accessible through the Portal with information, content or data accessible via or sourced from any third party;
    • 7.1.3 use any device, software, process or routine to interfere or attempt to interfere with the proper working of the Portal or any transaction or process being conducted on or through it;
    • 7.1.4 take any action that imposes an unreasonable or disproportionately large load on the infrastructure of or bandwidth connecting to the Portal;
    • 7.1.5 reverse engineer, reverse assemble, decompile, or otherwise attempt to discover source code or other arithmetical formula or processes in respect of the software underlying the infrastructure and processes associated with the Portal; or
    • 7.1.6 copy, reproduce, alter, modify, create derivative works, or publicly display, any part of any content from the Portal without Vero’s prior written permission.

8. Confidentiality, Privacy and Data Protection

  • 8.1 All personal information entered on the Portal is subject to the Privacy Act 2020 and Vero's Privacy Policy which can be accessed on Vero’s website at Vero Insurance New Zealand | Vero.
  • 8.2 Users must keep confidential information secure and not disclose any confidential information obtained through the Portal to unauthorised parties.
  • 8.3 Users must take reasonable steps to protect personal information from loss, unauthorised access, use, modification or disclosure.

9. Intellectual property

  • 9.1 All intellectual property rights in the Portal, including but not limited to, the software, functionality, design, layout, interfaces, content, data, reports, documentation and any related materials are owned by or licensed to Vero.  
  • 9.2 Users are granted a limited, non-exclusive, non-transferable licence to access and use the Portal solely in accordance with these Terms of Use.

10. Jurisdiction

  • 10.1 The Portal provides information about Vero and the insurance products and services Vero provides. Unless expressly stated otherwise, the Portal, these Terms of Use and any disputes arising from its use, are governed exclusively by the laws and courts of New Zealand.

By using the Portal, you acknowledge and agree to these Terms of Use.

 

AMP ADDENDUM – VeroVantage Portal

This Addendum (“Addendum”) applies to AMP Users and to the use of the Portal in connection with AMP Policies.

This Addendum is in addition to, and supplements, the Terms of Use and should be read by AMP Users in conjunction with the Terms of Use. To the extent of any inconsistency between this Addendum and the Terms of Use, this Addendum prevails in respect of AMP Users and AMP Policies only.  

Definitions (Additional)

In this Addendum, unless the context requires otherwise:

AMP Policies means Contracts of Insurance, underwritten by Vero, and branded, marketed or distributed as an AMP insurance policy and made available through the Portal.

AMP Users means Users who have been granted access to the Portal for the purposes of viewing or managing AMP Policies.

1. Purpose and Access

  • 1.1 The Portal is provided to AMP Users for the purpose of viewing policy information, accepting (for net policies only) or declining Renewal Offers, submitting Change Requests, cancelling policies, downloading certificate of insurance (House/Contents Motor only) and submitting Claims in respect of AMP Policies.

2. User Responsibilities and Warranties

  • 2.1 AMP Users are responsible for checking the accuracy, adequacy and completeness of all information displayed or made available on the Portal in relation to AMP Policies.
  • 2.2 AMP Users must comply with all applicable conduct and disclosure requirements, imposed by law, regulation and any requirements notified by or on behalf of AMP in connection with the Renewal Offer, before reviewing or accepting any Renewal Offer on the Portal. By accepting a Renewal Offer, AMP Users warrant and confirm that all such obligations have been fully satisfied. 

3. Placement of Insurance

  • 3.1 Renewal Offers relating to AMP Policies will be presented in the Portal using AMP branding and identifiers.
  • 3.2 AMP Users may accept (for net policies only), decline, or submit a Change Request to, a Renewal Offer presented on the Portal.  
  • 3.3 Where the Portal functionality permits acceptance of a Renewal Offer for an AMP Policy, acceptance by an AMP User via the Portal will bind the Contract of Insurance in accordance with Clause 3 of the Terms of Use. 
  • 3.4 When a Change Request is submitted, the Contract of Insurance cannot be bound through the Portal. In such instances, AMP Users should follow the applicable AMP placement process outside of the Portal.  

4. Claims Lodgement

  • 4.1 Claims lodged by AMP Users via the Portal will be assessed in accordance with the applicable policy terms and AMP’s established claims handling processes.

5. Liability

  • 5.1 The exclusion of liability in clause 5.2 (inclusive) of the Terms of Use will apply irrespective of how liability arises, whether in equity, tort (including negligence), breach of statutory duty or otherwise.  

6. Portal Availability

  • 6.1 Vero may introduce, modify or remove functionality relating to AMP Policies at any time.
  • 6.2 If the Portal is unavailable, AMP Users should revert to using AMP’s usual claim lodgement and underwriting processes.  

7. Confidentiality, Privacy and Data Protection

  • 7.1 Information entered into or accessible through the Portal in relation to AMP Policies may be shared between Vero and AMP for the purposes of operating and supporting the Portal and administering AMP Policies.

8. Intellectual Property and Branding

  • 8.1 AMP branding may be displayed in the Portal in relation to AMP Policies. 
  • 8.2 All intellectual property rights in the AMP branding, and any related AMP materials, are owned by or licensed to AMP.  

9. General

  • 9.1 Except as expressly varied by this Addendum, the Terms of Use apply in full.
  • 9.2 The Terms of Use and this Addendum govern the use of the Portal as a system and do not affect or alter any separate agreements, arrangements or processes relating to AMP Policies outside of the Portal.
